Terms of Service

Last updated

The agreement between you and SEQ SIA for using OffSeq Pulse.

In short

  • Pulse is provided by SEQ SIA (OffSeq Cybersecurity), Riga, Latvia, and hosted in Germany.
  • Prices are per device, excl. VAT. The first 2 devices are free; a card or PayPal is needed at signup, but nothing is charged at 2 devices or fewer.
  • Subscriptions renew automatically. Cancel any time in the console; you keep access until the period ends. Paid periods are not refunded. With a saved payment method and more than 2 devices, billing restarts automatically.
  • Only install the agent on devices you are authorised to manage, and tell their users what Pulse collects.
  • Your data is yours. You can export it any time; deleted organizations are erased within 30 days, backups within a further 30.
  • For business customers, our liability is capped at the fees paid in the 3 months before a claim. Consumer rights are unaffected.

This summary helps you read the document; the numbered sections below are what apply.

1These terms

These terms govern your use of OffSeq Pulse (“Pulse”), provided by:

SEQ SIA (OffSeq Cybersecurity)
Reg. No. 40203410806, VAT LV40203410806
Lastādijas iela 12 k-3, Riga, LV-1050, Latvia

In these terms “we” and “us” mean SEQ SIA. “You” or the “customer” means the organization that creates a Pulse account, or the individual if they act as a consumer. The person who accepts these terms on behalf of an organization confirms that they are authorised to bind it.

You accept these terms when you create an account or tick the acceptance box at checkout. The following documents form part of them:

Our Privacy Policy explains how we handle personal data as a controller. Pulse Managed customers may sign a separate agreement; where it conflicts with these terms, the separate agreement wins.

2Definitions

Organization
Your workspace in Pulse. An organization can have sub-organizations; the top-level organization is responsible for its whole tree.
User
A person you invite to the console, with a role such as owner, admin, operator or viewer.
Device
A computer with the Pulse agent installed and enrolled in your organization.
Agent
The signed Pulse software for Windows, macOS and Linux that reports a device’s state and runs actions you request.
Customer data
Data your devices and users send to Pulse, and data you enter in the console.
Slots
The number of devices your subscription covers.

3The service

Pulse checks the security posture of enrolled devices, helps you administer them and produces audit evidence. It consists of the web console at pulse.offseq.com, its API and the agent. The agent updates itself; you control when new versions reach your devices through staged rollouts in the console.

We develop Pulse continuously. We may add, change or remove features. If we remove a feature that is material to a paid plan, we will tell you in advance by email.

Features marked as preview or beta are offered as they are and may change or end without notice.

4Your account

You agree to:

  • give accurate account and billing details and keep them current;
  • keep passwords, one-time codes, API tokens and enrollment tokens confidential;
  • give users only the roles and permissions they need, and remove access that is no longer needed;
  • tell us at support@offseq.com without delay if you suspect unauthorised access to your account.

You are responsible for what happens under your account, including actions taken by your users and by anyone using your API tokens. A managed service provider that runs organizations for its own clients is responsible for those organizations as our customer.

5Your responsibilities and acceptable use

Pulse collects technical data about devices, can collect a device’s precise location when it is available, and lets authorised users run remote actions such as lock, alarm, locate, restart, shutdown, log off, show a notice and open a remote shell. Because of this:

  • install the agent only on devices you own or are authorised to manage;
  • inform the people who use those devices, as the law requires, about the data Pulse collects and the actions you can take, and have a lawful basis for doing so;
  • decide for yourself which features to use and when; you are responsible for remote actions and commands your users run, including their effect on devices and data.

You must not:

  • use Pulse to monitor people unlawfully or in breach of employment or privacy law;
  • use Pulse to access devices or systems without authorisation, or to distribute malware;
  • probe, scan or test the security of Pulse without our written permission;
  • disrupt or overload the service, or work around usage limits, slots or access controls;
  • copy, modify or reverse engineer the console or the agent, except where the law allows it despite this restriction;
  • resell or sublicense Pulse to third parties without our written agreement.

If you find a security issue in Pulse, report it to security@offseq.com.

6Plans and prices

Prices are per device, in euros and exclude VAT. The current prices are on the pricing page. At the date of these terms they are:

  • Pulse: €4 per device per month billed annually, or €5 per device per month billed monthly. The first 2 devices are free.
  • Pulse Managed: €12 per device per month, billed annually, for at least 25 devices.
  • Volume discounts apply to the whole billed fleet: 10% from 100 devices, 15% from 250 and 20% from 500.

A top-level organization pays for every device in its tree, including sub-organizations. We may change prices for future periods. We will email the billing contact at least 30 days before a price increase takes effect at your next renewal; you can cancel before then.

7Payment, slots and renewal

Payment method

New organizations add a card or PayPal account at signup. Our payment provider, Mollie B.V., makes a €0.00 authorisation to confirm it. Nothing is charged while your organization has 2 devices or fewer. Later payments can also be made with other methods Mollie offers, such as Apple Pay, Google Pay, iDEAL or Bancontact. We never see or store full card numbers.

Adding devices

When you enroll a device beyond your current slots on a paid plan, your slots rise automatically and we charge a prorated amount for the rest of the current period to your stored payment method. Enrolling the third device starts the subscription and we charge the first period.

Renewal

Subscriptions renew automatically for the same billing cycle and are charged to your stored payment method. At renewal the number of billed devices follows the devices actually enrolled, never below the plan minimum, so you do not pay for unused slots. We email a reminder before each annual renewal.

Changing plans

Upgrades (more devices, monthly to annual, Pulse to Pulse Managed) take effect immediately and are prorated: unused time on the old terms is credited against the new charge. Downgrades (annual to monthly, Pulse Managed to Pulse) take effect at the next renewal. Upgrading while a cancellation is scheduled cancels the cancellation and the plan continues.

8Failed payments

If a renewal or a prorated charge for added devices fails, we retry it and email the owner a link to pay. If payment has not succeeded after 7 days, your organization returns to the free allowance of 2 devices:

  • existing devices keep reporting;
  • new enrollments are refused until you pay or remove devices;
  • no data is deleted.

9VAT and invoices

We add Latvian VAT at 21%, unless you are a business in another EU country with a VAT number confirmed in the EU VIES system, in which case the reverse charge applies, or you are outside the EU. You must give us correct tax details; if they are wrong, you are responsible for any resulting tax.

We issue an invoice for every payment. You can download it as a PDF in the console, and we email it to your billing contact. Invoices are numbered in the form PLS-YYMMDD-NNNN.

10Cancellation and refunds

You can cancel a subscription at any time in the console. Your paid plan continues until the end of the period you have paid for; we do not refund paid periods except where the law requires it. Your organization then returns to the free plan; this does not delete your data.

Billing can restart automatically. If your payment method stays on file after cancellation and more than 2 devices are enrolled, the subscription starts again and the new period is charged to the saved payment method. To avoid this, keep 2 devices or fewer, or ask billing@offseq.com to remove your saved payment method.

Consumers: when you buy, you ask us to start the service immediately and acknowledge that you lose your 14-day right of withdrawal once the service has started.

The Cancellation and Refund Policy has the details, including how we refund billing errors. If you think a charge is wrong, contact billing@offseq.com before disputing it with your bank.

11Customer data and privacy

You own customer data. You give us the right to host, process and display it only to provide, secure and support Pulse for you and as the law requires. We do not sell customer data or use it for advertising.

For personal data in customer data, you are the controller and we are your processor. The Data Processing Agreement applies and is part of these terms without a separate signature.

Customer data is hosted with Hetzner Online GmbH in Falkenstein, Germany. You control how long posture history and device events are kept, within the limits set out in the Data Processing Agreement.

12Availability and support

We use commercially reasonable efforts to keep Pulse available and to fix problems promptly. We do not offer a service level agreement or service credits under these terms. Maintenance may briefly interrupt the service.

Support is by email at support@offseq.com. Pulse Managed customers may have a separate agreement with service levels.

13Intellectual property

We own Pulse, including the console, the agent, documentation and hardening content. While your account is active, we give you a non-exclusive, non-transferable right to use the console and to install the agent on devices you manage, for your internal purposes.

You may export reports and evidence from Pulse and use them freely, including sharing them with auditors and regulators. If you send us feedback, we may use it without obligation to you.

14Suspension and termination

We may suspend access, in whole or in part, if it is necessary to:

  • stop a security threat to Pulse, other customers or devices;
  • stop use that breaches section 5;
  • comply with the law or an order of a competent authority.

We will limit a suspension to what is necessary and tell you, unless the law or the security situation prevents it.

You may stop using Pulse at any time and ask us to delete your organization. We may end these terms if you materially breach them and do not fix the breach within 14 days after we notify you, or immediately for a serious breach of section 5. We may also end a free plan with 30 days’ notice by email.

15Your data when you leave

You can export devices, compliance evidence, events and the audit log as CSV or PDF in the console at any time.

  • Ending a paid subscription returns your organization to the free plan. It does not delete data.
  • When an organization or account is deleted, we delete its data within 30 days. Copies in backups are removed within a further 30 days.
  • We keep invoices and payment records for as long as accounting and tax law requires, even after deletion.

To delete an organization, the owner can email support@offseq.comfrom the owner’s account address.

16What Pulse does not promise

Pulse shows the state of controls the agent can measure and maps them to frameworks such as NIS2, CIS Controls v8 and Latvian Cabinet Regulation No. 397. It helps you find and fix weaknesses and document your work. It does not guarantee that devices are secure, that an incident will not happen, or that you comply with any law or framework; those decisions remain yours.

Apart from what these terms expressly say and what the law requires, Pulse is provided as it is, without other warranties.

17Liability

For business customers:

  • our total liability arising out of or in connection with these terms is limited to the fees you paid us for Pulse in the 3 months before the event giving rise to the claim;
  • neither party is liable for indirect or consequential damage, including lost profit, lost revenue, lost business or loss of goodwill.

These limits do not apply to damage caused intentionally or by gross negligence, or where the law does not allow liability to be limited.

Consumers: nothing in these terms limits your statutory rights or our liability to you under mandatory consumer law.

18Changes to these terms

We may update these terms. For changes that materially affect you, we will email the account owner at least 30 days before they take effect. If you do not agree, you can cancel before the effective date and the current terms keep applying until the end of your paid period. Corrections and changes required by law can take effect sooner. The date at the top shows the current version.

19Governing law and disputes

Latvian law governs these terms. The courts of Latvia have jurisdiction. If you are a consumer, you keep the protection of mandatory rules of the country where you live and may also bring proceedings there.

Please contact us first; most issues are resolved quickly by email. Consumers may also contact the Consumer Rights Protection Centre of Latvia (Patērētāju tiesību aizsardzības centrs, PTAC) at ptac.gov.lv.

20General

  • Neither party is responsible for failing to perform because of events beyond its reasonable control.
  • You may not transfer these terms without our consent. We may transfer them to a company that takes over Pulse, and will tell you if we do.
  • If a provision is invalid, the rest of these terms still apply.
  • These terms are the whole agreement between us about Pulse, unless you have a separate signed agreement.
  • We send notices by email to the account owner and billing contact. Send notices to us at the addresses below.
